These Terms and Conditions, referred to as the “Terms,” govern your access to and use of theleadernuinstitute.com and the products, programs, memberships, assessments, events, consulting services, coaching services, communities, content, and other services offered by The Leader NU Institute, LLC.

The Leader NU Institute, LLC may be referred to as “LNU,” “The Leader NU Institute,” “we,” “our,” or “us.”

By accessing the website, purchasing a product or service, registering for a program, submitting an application, or using our services, you agree to these Terms.

If you do not agree, do not use the website or purchase our services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase or register for our services.

If you use the website or purchase services on behalf of a company, nonprofit organization, government entity, or other organization, you represent that you have authority to bind that organization to these Terms.

2. Our Services

LNU may provide services including:

  • AI readiness assessments

  • Leadership training and development

  • Workshops and educational programs

  • Executive and management coaching

  • Business and nonprofit consulting

  • Workflow and operational improvement

  • AI implementation guidance

  • Memberships and online communities

  • Digital educational resources

  • Certification and partner programs

  • Events, retreats, and roundtables

  • Career, faculty, contractor, and executive opportunities

The specific scope, schedule, price, deliverables, and requirements for a service may be described on the website, checkout page, registration page, proposal, order form, statement of work, or separate written agreement.

If a separate written agreement conflicts with these Terms, the separate agreement will control for that service.

3. Assessments and Recommendations

Assessments, scores, reports, roadmaps, AI outputs, and recommendations are provided for educational, leadership, operational, and informational purposes.

They are based on the information available at the time and may involve automated processes or third-party technologies.

We do not guarantee that:

  • Assessment results are complete or error-free

  • Recommendations will be suitable for every person or organization

  • Suggested tools will remain available

  • AI-generated information will always be accurate

  • Implementation will produce a specific financial or operational result

You are responsible for reviewing recommendations and deciding whether they are appropriate for your circumstances.

4. No Professional Advice

Unless expressly stated in a separate written agreement, LNU does not provide:

  • Legal advice

  • Tax advice

  • Accounting advice

  • Investment advice

  • Medical advice

  • Mental health treatment

  • Licensed employment-law advice

  • Cybersecurity certification

  • Regulatory-compliance certification

You should consult an appropriately licensed professional before making decisions requiring specialized professional advice.

5. Registration and Account Information

You agree to provide accurate, current, and complete information when:

  • Completing an assessment

  • Creating an account

  • Purchasing a membership

  • Registering for a program

  • Scheduling a consultation

  • Applying for a position or partnership

  • Submitting payment information

You are responsible for maintaining the confidentiality of login credentials and for activity conducted through your account.

You must notify us promptly if you suspect unauthorized access or use.

6. Prices and Payment

Prices are listed in U.S. dollars unless otherwise stated.

You agree to pay all charges associated with your purchase, including applicable taxes and processing charges disclosed before payment.

You authorize LNU and its payment processors to charge the payment method you provide.

We may change prices for future purchases at any time. Price changes will not retroactively alter a completed purchase unless required by law or agreed in writing.

7. Memberships and Recurring Billing

Certain memberships and services may renew automatically on a monthly, annual, or other recurring basis.

By purchasing a recurring service, you authorize us or our payment processor to charge the applicable recurring fee until the service is canceled.

You are responsible for canceling before the next billing date to avoid the next renewal charge.

Canceling a membership stops future renewals. Unless otherwise stated or required by law, cancellation does not automatically provide a refund for a billing period that has already started.

Membership benefits, resources, event access, discounts, and community features may change over time.

We may provide reasonable notice of material pricing or membership changes where required.

8. Refund and Cancellation Policy

Refunds, cancellations, rescheduling rights, credits, and transfer rights may vary by program or service.

The policy displayed on the applicable checkout page, proposal, order form, or service agreement will control.

Where no separate policy is provided, the following policy applies:

Failure to attend a session, access purchased materials, complete a program, participate in a community, or use available membership benefits does not automatically entitle you to a refund.

Nothing in this section limits refund or cancellation rights that cannot legally be waived.

9. Program Scheduling and Attendance

Program dates, instructors, coaches, speakers, venues, formats, and schedules may change because of availability, operational requirements, emergencies, or circumstances outside our reasonable control.

We may:

  • Reschedule a session

  • Replace an instructor or speaker

  • Change an in-person event to a virtual format

  • Adjust curriculum or program order

  • Combine or cancel sessions with insufficient enrollment

Where a material change occurs, we will provide a reasonable substitute, credit, rescheduled date, or other remedy when appropriate.

Participants are responsible for attending scheduled sessions and completing assigned work.

10. Intellectual Property

The website and LNU materials are owned by or licensed to The Leader NU Institute, LLC and are protected by intellectual-property laws.

Protected materials may include:

  • Videos

  • Assessments

  • Reports

  • Courses

  • Workshops

  • Frameworks

  • Training materials

  • Templates

  • Workbooks

  • Graphics

  • Logos

  • Software

  • Presentations

  • Written content

  • Audio recordings

  • Community content

  • The Shelby Principles and related instructional materials

  • Program names and branding

Purchasing or accessing a service gives you a limited, personal, non-exclusive, non-transferable, and revocable license to use the provided materials for their intended purpose.

You may not, without written permission:

  • Copy or reproduce materials

  • Sell or sublicense materials

  • Publish materials publicly

  • Share account access

  • Record private sessions

  • Create competing courses from LNU materials

  • Remove copyright or trademark notices

  • Use LNU branding to imply endorsement

  • Train an AI model using proprietary LNU materials

  • Distribute materials outside your authorized organization

Organizational licenses apply only to the number of users or locations specified in the applicable agreement.

11. User Content and File Uploads

You retain ownership of content you submit, including messages, documents, photographs, resumes, assessment answers, and other files.

You grant LNU a limited license to access, store, reproduce, review, and use submitted content as reasonably necessary to:

  • Provide the requested service

  • Process an application

  • Respond to a request

  • Maintain records

  • Improve operations

  • Comply with legal obligations

You represent that you have the necessary rights and permissions to submit the content.

You may not upload content that:

  • Is illegal, fraudulent, defamatory, or threatening

  • Violates intellectual-property or privacy rights

  • Contains malware or harmful code

  • Contains confidential information you are not authorized to disclose

  • Is unrelated to the requested service

  • Exploits or harms another person

12. Testimonials, Results, and Case Studies

Testimonials, case studies, statistics, and examples describe individual experiences or past results.

They do not guarantee that every participant, organization, or client will achieve the same outcome.

Results may depend on factors including:

  • Participation

  • Leadership support

  • Available resources

  • Team adoption

  • Market conditions

  • Technology

  • Implementation quality

  • Organizational readiness

Any business, financial, productivity, time-saving, leadership, or performance result should be considered an example rather than a promise.

13. Partner and Certification Programs

Acceptance into an LNU partner, trainer, consultant, faculty, licensing, or certification program may be subject to:

  • Application review

  • Training requirements

  • Assessments

  • Fees

  • Background or reference checks

  • Performance standards

  • Brand standards

  • Continuing education

  • Separate written agreements

Participation does not create an employment relationship, agency relationship, franchise, joint venture, fiduciary relationship, or guaranteed business opportunity unless expressly stated in a signed written agreement.

LNU does not guarantee:

  • Client leads

  • Contracts

  • Revenue

  • Profit

  • Territory exclusivity

  • Certification approval

  • Continued partner status

  • Employment or independent-contractor work

14. Employment and Career Applications

Job listings and career opportunities may be changed, suspended, filled, or withdrawn at any time.

Submitting an application does not guarantee:

  • An interview

  • Employment

  • Contract work

  • Compensation

  • A response

  • Consideration for future positions

Nothing on the website constitutes an employment contract or promise of employment.

15. Community Standards

Users of an LNU membership community, event, discussion group, or collaborative program must communicate professionally.

You may not:

  • Harass or threaten others

  • Discriminate against participants

  • Share another participant’s confidential information

  • Promote unlawful activity

  • Send unsolicited promotions

  • Impersonate another person

  • Disrupt sessions or communities

  • Copy or distribute private discussions

  • Attempt to recruit clients or staff improperly

  • Use community access for data harvesting

We may remove content, restrict access, suspend participation, or terminate membership for violations.

16. Confidentiality

Information shared by other participants, clients, instructors, or organizations during private sessions or communities may be confidential.

You agree not to disclose private business, personal, technical, operational, or organizational information without authorization.

LNU cannot guarantee that every participant will comply with confidentiality obligations. You should avoid sharing highly sensitive information in group settings unless a separate confidentiality agreement applies.

17. Acceptable Use

You may not use the website or services to:

  • Violate any law

  • Infringe another person’s rights

  • Commit fraud

  • Attempt unauthorized access

  • Interfere with website security

  • Introduce malware

  • Scrape or harvest data without permission

  • Circumvent access or payment controls

  • Reverse engineer protected systems

  • Misrepresent affiliation with LNU

  • Use content to create a competing product unlawfully

  • Use automated systems that place an unreasonable burden on the website

18. Third-Party Services

The website may contain links to or integrations with third-party platforms, including payment processors, assessment providers, calendars, video-conferencing services, social media websites, and software tools.

Third-party services are governed by their own terms and privacy policies.

LNU is not responsible for the content, availability, security, pricing, policies, or performance of third-party services.

19. Suspension and Termination

We may suspend or terminate access to the website, membership, community, program, or service if you:

  • Violate these Terms

  • Fail to make payment

  • Misuse our materials

  • Disrupt a program or community

  • Threaten the safety of another person

  • Engage in fraud or unlawful conduct

  • Violate a separate agreement

  • Create legal or security risks

Termination does not eliminate payment obligations incurred before termination.

Sections concerning intellectual property, confidentiality, payment obligations, disclaimers, limitations of liability, indemnification, and dispute resolution survive termination.

20. Disclaimer of Warranties

To the maximum extent permitted by law, the website and services are provided on an “as is” and “as available” basis.

LNU does not warrant that:

  • The website will always be available

  • Services will be uninterrupted or error-free

  • Every defect will be corrected

  • Information will always be current or complete

  • AI tools or third-party platforms will perform as expected

  • Services will produce a specific result

  • Website files will be free from every harmful component

Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

21. Limitation of Liability

To the maximum extent permitted by law, LNU and its owners, employees, officers, instructors, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages.

This includes loss of:

  • Profits

  • Revenue

  • Data

  • Business opportunities

  • Reputation

  • Productivity

  • Expected savings

To the maximum extent permitted by law, LNU’s total liability arising from a particular service will not exceed the amount you paid to LNU for that service during the six months immediately preceding the event giving rise to the claim.

These limitations do not apply where liability cannot legally be limited.

22. Indemnification

You agree to defend, indemnify, and hold harmless LNU and its owners, employees, officers, instructors, contractors, affiliates, and service providers from claims, losses, damages, liabilities, and reasonable legal costs arising from:

  • Your violation of these Terms

  • Your misuse of the website or services

  • Content you submit

  • Your violation of another person’s rights

  • Your unlawful conduct

  • Decisions you make based on assessments or recommendations

This obligation applies only to the extent permitted by law.

23. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Before filing a legal claim, you agree to contact LNU and attempt in good faith to resolve the dispute informally.

Unless a separate signed agreement provides otherwise, legal proceedings relating to these Terms or the services must be brought in a state or federal court with jurisdiction in Travis County, Texas.

You waive objections based on venue or inconvenient forum, where legally permitted.

24. Force Majeure

LNU will not be responsible for delays or failures caused by events outside its reasonable control, including:

  • Natural disasters

  • Severe weather

  • Public-health emergencies

  • War or civil unrest

  • Government actions

  • Labor disputes

  • Internet or utility failures

  • Cyberattacks

  • Platform outages

  • Transportation disruptions

  • Illness or emergency unavailability of essential personnel

25. Changes to These Terms

We may revise these Terms from time to time.

The updated version will be posted on the website with a revised “Last Updated” date.

Material changes affecting an active paid service may also be communicated by email or another reasonable method.

Continued use of the website or services after updated Terms become effective constitutes acceptance of the revised Terms.

26. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

The invalid provision will be modified only to the minimum extent necessary to make it enforceable where permitted.

27. No Waiver

Failure to enforce a provision of these Terms does not waive the right to enforce it later.

28. Entire Agreement

These Terms, the Privacy Policy, applicable checkout terms, order forms, proposals, statements of work, and signed service agreements constitute the agreement between you and LNU concerning the applicable services.
